Threefold Optima Terms & Conditions

These Terms & Conditions set out the general terms under which Threefold Energy Group Ltd provides the Threefold Optima battery and energy management solution (“Optima”), including associated equipment, installation and ongoing services.

These Terms & Conditions apply specifically to Optima projects and are intended to provide an overview of how the Optima solution is delivered and operated.

Full commercial, technical and site-specific details are set out in the Threefold Optima Agreement entered into with each customer. In the event of any conflict, the signed agreement shall take precedence.

1. Definitions and Interpretation

In these Terms & Conditions:

  • References to a person include individuals, companies and other legal entities
  • References to legislation include any updates or amendments
  • Words in the singular include the plural and vice versa
  • Written communication includes email
  • Examples and illustrative wording do not limit interpretation

2. Basis of Engagement

Optima is delivered under a formal agreement between Threefold Energy and the customer.

  • These Terms & Conditions apply to all Optima deployments unless expressly varied in writing
  • The Threefold Optima Agreement defines all commercial, technical and delivery specifics
  • No reliance should be placed on marketing materials or informal communications

3. Equipment and Installation

As part of Optima, Threefold Energy will procure, supply and install battery energy storage systems and associated equipment.

  • Installation is carried out using appropriate professional and industry standards
  • Grid and infrastructure approvals will be managed where agreed
  • Customers remain responsible for site-specific permissions and compliance
  • Equipment specifications may be updated where required for regulatory or performance reasons

Customers must ensure continued access to grid electricity where required to maintain uninterrupted supply.

4. Access and Delivery

To deliver Optima effectively:

  • Reasonable access to site is required for installation, maintenance and operation
  • Notice will be provided where practicable, except in emergencies
  • Delivery timelines are indicative and may be affected by external factors
  • Equipment may be delivered and installed in stages where appropriate

5. Quality and Warranty

Threefold Energy aims to ensure all Optima equipment and services meet appropriate quality standards.

  • Equipment will conform to agreed specifications
  • Any defects should be reported promptly
  • Remedies may include repair, replacement or other appropriate resolution
  • Exclusions may apply in cases of misuse, modification or external damage

6. Ownership, Risk and Upkeep

  • Risk in equipment transfers upon delivery
  • Ownership transfers in accordance with agreed payment terms set out in the Optima Agreement
  • Customers are responsible for maintaining and insuring installed equipment
  • Threefold Energy may retain operational control of the system to deliver Optima services

7. Operation and Performance

Optima includes active system management by Threefold Energy.

  • Systems are operated to optimise performance, cost savings and efficiency
  • This includes control of charging, discharge and energy usage
  • Surplus capacity may be utilised for additional optimisation or commercial activity where applicable
  • Any such optimisation forms part of the overall Optima service model

8. Customer Responsibilities

Customers are expected to:

  • Provide accurate information and necessary access
  • Comply with applicable laws and safety requirements
  • Maintain site readiness and supporting infrastructure

Failure to meet these obligations may impact Optima performance or service delivery.

9. Pricing and Payment

  • Pricing and payment terms for Optima are defined in the Threefold Optima Agreement
  • Unless otherwise stated, prices are exclusive of VAT
  • Payments must be made in accordance with agreed timelines
  • Late payments may incur interest or additional charges where applicable

Where relevant, fees may be subject to periodic adjustment in line with inflation or agreed indices.

10. Data and Intellectual Property

  • All intellectual property relating to Optima systems, software and services remains the property of Threefold Energy
  • Customers are granted a licence to use deliverables for their intended purpose
  • Customers must provide accurate operational data where required to enable system optimisation

11. Liability and Insurance

  • Threefold Energy maintains appropriate insurance cover for Optima delivery
  • Liability is limited to the extent permitted by law and as defined in the Optima Agreement
  • Indirect or consequential losses are excluded where legally permissible

12. Force Majeure

Neither party will be liable for delays or failures caused by events outside reasonable control, including supply chain disruption, regulatory changes or extreme weather.

13. Termination

Termination rights and notice periods are defined in the Threefold Optima Agreement.

Either party may terminate in circumstances including:

  • Material breach
  • Non-payment
  • Insolvency or inability to perform obligations

14. Equipment Ownership and Transfer

Where Optima equipment is installed:

  • Ownership structure is defined in the Optima Agreement
  • Provisions may apply in relation to property transfer or early termination
  • Buy-back or transfer mechanisms may be agreed on a case-by-case basis

15. General

  • These Terms are governed by English law
  • No partnership or agency is created
  • Variations must be agreed in writing
  • If any provision is found invalid, the remaining provisions remain in effect
